Terms of Service

1. Agreement to terms
These Terms of Service are a binding agreement between you and HnyComb.ai LLC, a Texas limited liability company ("ValuationMCP", "we", "us"). HnyComb.ai LLC operates the ValuationMCP application. By accessing or using ValuationMCP, you agree to be bound by these Terms. If you do not agree, do not use the service. ValuationMCP is an MCP-native valuation application for wealth-management practices.
2. Description of service
ValuationMCP provides a server-side valuation engine, benchmark data, and an MCP server through which your AI agent can supply practice inputs. The service calculates estimated practice values, quality scores, method-level outputs, and explainability insights based on the inputs your agent provides.
3. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when creating an account and keep that information current.
4. Acceptable use
You agree not to misuse the service. Prohibited conduct includes, but is not limited to:
- Attempting to access data or valuations belonging to another user or firm
- Reverse engineering, scraping, or probing the MCP endpoints or API
- Uploading or transmitting malware, spam, or unlawful content
- Using the service to harass, defraud, or violate applicable laws
- Circumventing authentication, rate limits, or access controls
5. Data you provide
You retain ownership of the practice data your agent sends through the MCP server. You grant ValuationMCP a limited license to use that data to perform the valuation calculations you request and to operate the service.
When your agent calls upsert_practice, the figures it supplies — including revenue, EBITDA, EBOC, AUM, client count, cash flow, growth and discount rates, valuation multiples, the firm name, and any free-text notes — are stored in a practice record scoped to your account. Raw quality metrics are converted to 0–100 scores and the raw values are dropped. Provenance metadata and calculated outputs are also stored. See our Privacy Policy for details.
Do not submit client names, account numbers, or any nonpublic personal information. The service is not designed to hold client NPI, and you are responsible if you route such data to it.
6. Outputs, insights, and intellectual property
ValuationMCP owns the valuation engine, scoring logic, benchmarks, software, and all generated content outside of your underlying data. Calculated outputs produced for your account are licensed to you solely for your internal planning and discussion purposes, subject to the restrictions in Section 9. You may not resell, white-label, or represent the ValuationMCP service as your own, and you may not furnish any output to a third party as a representation, certification, or evidence of value.
7. Disclaimer of warranties
THE SERVICE, THE BENCHMARKS, AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
We do not warrant that the service will be uninterrupted, error-free, or that any output will be accurate, complete, or suitable for any purpose.
8. General disclaimers
ValuationMCP produces estimated practice values for planning discussions only. The outputs are not a formal appraisal, a fairness opinion, an offer to buy or sell, or investment, legal, tax, or accounting advice. You should consult qualified professionals before making any transaction, capital, or strategic decision.
The accuracy of any output depends on the accuracy and completeness of the inputs your agent supplies. ValuationMCP is not responsible for inputs that are incorrect, incomplete, outdated, or misattributed.
9. No appraisal, no reliance, no third-party distribution
Outputs are directional estimates generated from user-supplied inputs and published benchmarks, for internal planning and discussion only. An output is NOT a formal business valuation, NOT an appraisal, NOT prepared in accordance with USPAP or any other appraisal or valuation standard, NOT a fairness opinion, and NOT prepared by a credentialed valuation professional.
No appraiser-client, advisory, or fiduciary relationship is created between you and ValuationMCP by your use of the service.
You expressly acknowledge and agree that you are not relying on any output in connection with any actual purchase, sale, merger, recapitalization, financing, buy-sell, litigation, divorce, tax, or estate matter, and that you will obtain an independent professional valuation from a qualified, credentialed appraiser before entering into any such transaction or proceeding.
You may not furnish any output to a third party — including a prospective buyer or seller, lender, custodian, insurer, regulator, court, or taxing authority — as a representation, certification, or evidence of value.
10. Benchmarks
Benchmark data is derived from publicly filed SEC Investment Adviser Public Disclosure (IAPD) data across registered investment advisers and represents industry-wide descriptive statistics. It is not a representation about the value of any specific firm, including yours. Past transaction multiples do not predict the price any particular practice will achieve.
11. Automated access and AI agents
If you operate or direct an AI agent that calls our MCP server, you are bound by these Terms and you are responsible for every call the agent makes, for the accuracy of the figures it supplies, and for how the resulting outputs are used or shared.
12. Limitation of liability
To the fullest extent permitted by law, ValuationMCP and its affiliates, members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the service.
Our total aggregate liability for all claims arising out of or relating to the service or these Terms will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim or (b) one hundred U.S. dollars ($100).
These limitations and exclusions apply even if a remedy fails of its essential purpose.
13. Indemnification
You will indemnify, defend, and hold harmless ValuationMCP and its members, officers, and agents from and against any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your use of the service, your violation of these Terms, the inaccuracy or incompleteness of inputs you supply, or your submission of client information.
This expressly includes any claim arising from a third party's reliance on an output you shared with them. A third party who relies on a number you gave them is not bound by these Terms, and you accept responsibility for that exposure.
14. Termination
We may suspend or terminate your access to the service at any time, with or without notice, for conduct that violates these Terms or for any other reason. You may stop using the service and delete your account at any time.
15. Changes to these terms
We may update these Terms of Service as the product evolves. Material changes will be posted on this page with an updated effective date. Your continued use of the service after changes take effect constitutes acceptance of the revised terms.
16. Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Exclusive venue for any dispute arising under these Terms lies in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
17. General
- Severability. If any provision is held unenforceable, it will be limited or severed and the remaining provisions stay in full force.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the service and supersede any prior understandings.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms to a successor entity, including upon formation of the limited liability company named above or in connection with a merger, reorganization, or sale of assets.
- Survival. Sections 7 (Disclaimer of warranties), 8 (General disclaimers), 9 (No appraisal, no reliance, no third-party distribution), 12 (Limitation of liability), 13 (Indemnification), and 16 (Governing law) survive any termination of these Terms or your account.
